1. Agreement to Terms

By using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services. Your acceptance is confirmed when you create an account, complete an assessment, or continue to use the Services after being notified of changes.

2. Privacy Policy

3. Changes to Terms or Services

We may update the Terms at any time, in our sole discretion. If we do so, we’ll let you know either by posting the updated Terms on the Site or through other communications. It’s important that you review the Terms whenever we update them or you use the Services.

4. Who May Use the Services

You must be at least 18 years old to use the Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

5. Your Account

If you want to use certain features of the Services you’ll have to create an account (“Account”). It’s important that you provide us with accurate, complete and up-to-date information for your Account and you agree to update such information to keep it accurate, complete and up-to-date. You are responsible for safeguarding your password and for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use of your Account.

6. Content and Content Rights

For purposes of these Terms: (i) “Content” means text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through the Services; and (ii) “User Content” means any Content that Account holders (including you) provide to be made available through the Services. All Content made available through the Services is owned by Personal Health Coach or its licensors. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely for the purpose of providing the Services.

7. General Prohibitions and Our Enforcement Rights

You agree not to do any of the following:

  • Use the Services for any illegal purpose or in violation of any applicable laws or regulations.
  • Infringe the intellectual property or other rights of any third party.
  • Post or transmit harmful, threatening, abusive, or objectionable content.
  • Attempt to interfere with, compromise, or disrupt the Services or their underlying infrastructure.
  • Use automated means to access or scrape the Services without our express written permission.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We have the right to investigate violations of these Terms or conduct that affects the Services. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.

THE SERVICES AND CONTENT ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

OUR SERVICES ARE FOR INFORMATIONAL PURPOSES ONLY AND ARE NOT INTENDED AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. 9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERSONAL HEALTH COACH AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES OR CONTENT.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Kentucky, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. General Terms

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. These Terms constitute the entire agreement between you and Personal Health Coach regarding the Services.
